Article 1 Subject of the contract
The Service Provider (LemFid SA, brand Helvetic Assist) undertakes to provide the Client, under a monthly subscription, with administrative assistance, orientation, referral and intermediation services as described in the Particular Terms (PTS) and on helveticassist.ch.
The Services are provided as a mandate within the meaning of Articles 394 et seq. of the Swiss Code of Obligations (CO). The Service Provider undertakes to act with diligence and in the Client's interest. This is an obligation of means and not of result, unless expressly stipulated otherwise.
Article 2 Formation and entry into force
The contract is formed by the Client's signature of the Subscription Form and receipt by the Service Provider of the first payment. The Service Provider confirms the formation of the contract by sending a confirmation email. The contract takes effect on the first day of the month following payment.
Article 3 Pricing, payment and billing
The rates published on helveticassist.ch include VAT. Payment is made monthly by credit card, TWINT or bank transfer. Alternatively, a single annual payment without surcharge is possible. In the event of non-payment, the Service Provider reserves the right to temporarily suspend the Services, after formal notice.
Article 4 Term and termination
The contract is concluded for the initial duration chosen in the Subscription Form (12 or 24 months). It automatically renews for the same duration unless cancelled 3 months before expiry. Cancellation must be made in writing by registered letter or email with acknowledgement of receipt to info@helveticassist.ch.
Article 5 Service Provider's obligations
The Service Provider undertakes to: provide the Services with due diligence, protect the Client's interests, ensure the confidentiality of information received, keep the Client informed of the progress of their requests, comply with applicable Swiss regulations, in particular the FADP.
Article 6 Client's obligations
The Client undertakes to: provide truthful information and the necessary documents, inform the Service Provider of any substantial change in their situation, pay the sums due according to the contractual deadlines, cooperate in good faith with the Service Provider in the performance of the mandate.
Article 7 Liability
The Service Provider is liable to the Client only for its proven faults in the performance of the mandate. It is not liable for decisions of authorities or third-party partners. Liability is limited to direct damage and capped at 12 months of the current subscription, except in cases of fraud or gross negligence.
Article 8 Confidentiality and data protection
The Parties undertake to maintain the confidentiality of all information exchanged under the contract. The Service Provider undertakes to comply with the provisions of the Privacy Policy available on helveticassist.ch and forming an integral part of the contractual relationship.
Article 9 Contract modification
The Service Provider reserves the right to modify these GTC in case of changes to regulations or services offered. Any substantial modification will be notified to the Client at least 30 days before its entry into force. The Client has the right to terminate the contract free of charge if they refuse the modification.
Article 10 Applicable law and jurisdiction
The contract is exclusively governed by Swiss law. Any dispute relating to the interpretation or performance of the contract falls under the exclusive jurisdiction of the ordinary courts of the canton of Geneva, subject to mandatory legal provisions.
